The Ultimate Guitar Honor Shot Contest Official Rules

1.Eligibility

Contest is open to legal permanent residents of the 50 United States and District of Columbia, ages 18 & up. Contest is void where prohibited. Employees of Ultimate Guitar, sponsors, advertisers, promotion agencies, and their immediate families and those living in the same household of each are not eligible to participate in the contest.

2. Entry

Entrants must submit an original Shot of an original performance of a song with an autumn vibe for purposes of this specific contest («video»). The video and the performance in the video must be the original work of the entrant. To enter, create a shot, upload it to Ultimate-Guitar.com with at tab and the hashtag #HONORautumn in the description during the contest period. All submissions must be uploaded between November 18, 2020 and December 1, 2020.

3. Judging

The best videos in the following categories will be determined based upon engagement metrics and/or judges score: best guitarist, best newcomer guitarist, best keyboardist, best vocalist, best ukulelist. A panel of judges comprised of employees of Ultimate Guitar and Honor score the Finalists based on the following criteria (collectively, the «Judging Criteria»): creativity (25%); originality (25%); musical ability (25%); and overall entertaining artistic content of the Submission Materials (25%).

4. Winners

The winner in each category will win an Honor 10X Lite smartphone. Should a winner not be able to accept the prize, the award will be forfeited.

Prizes may not be transferred. Winners are responsible for all taxes on a prize and any expenses not specified relating to the acceptance and use of a prize. An IRS Form 1099 will be issued to winners where applicable.

The winner will be notified on December 7, 2020 via email and will have 72 hours to respond and accept the prize. If Ultimate Guitar does not receive a response within this time period, the winner may be disqualified and an alternate winner will be determined. Each finalist will be required to provide a completed and signed (a) Winner’s Affidavit, including an assignment to Ultimate Guitar and/or the Sponsor of rights of ownership and copyright to the submitted video, in whole or in part and as edited by Ultimate Guitar and/or Sponsor, in all media without additional compensation to or prior review by finalist, and (b) Publicity Release. Failure to return the required documents in a timely way, or the return of any notification as undeliverable for any reason, will cause the entry to be void and an alternate finalist to be selected. If any individual appearing in a video is under the age of 18 or not of the age of majority in state of residence, all relevant documents must be confirmed, ratified and signed by the parent or legal guardian of the individual signing the document(s).

5. Entrants’ Consent

By participating, entrants: (a) agree to these official rules and to the decisions of the judges and Ultimate Guitar and its agents in all matters, including the voting process, relating to the contest, which decisions shall be final in all respects; (b) release, indemnify and hold harmless Ultimate Guitar and Sponsor. And their respective affiliates and directors, officers and employees, from any and all claims, liabilities, losses or damages of any kind whatsoever, including but not limited to the infringement of intellectual property rights of others, resulting in whole or in part from their participation in the contest and the acceptance and use of the prize; © grant to Ultimate Guitar and Sponsor a perpetual, irrevocable, royalty free, worldwide license to use, reproduce, publicly display, distribute, sublicense, modify, prepare derivative works and otherwise fully exploit any Video that entrant submits to Ultimate Guitar; (d) if a winner, consent (except where prohibited by law) to the use of their name, likeness and location for advertising and publicity purposes by Ultimate Guitar and Sponsor, in its sole discretion, of its products and services; and (e) represent that the video submitted is their work and does not infringe the intellectual property right of any other party.

6. Intellectual Property

Entrants shall be solely responsible for the video and the consequences of posting or publishing it. In connection with the video, entrants affirm that: (i) they own or have the necessary licenses, rights, consents, and permissions to use and authorize Ultimate Guitar and Sponsor to use all trademark, copyright or other proprietary rights in and to any and all video to enable inclusion and use of the video in the manner contemplated by the Ultimate Guitar service and these rules; and (ii) they have the written consent, release, and/or permission of each and every identifiable individual person in the video to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the video in the manner contemplated by the Ultimate Guitar service and Sponsor and these rules. Ultimate Guitar has the right in its sole discretion to refuse to post a video for any reason, including, but not limited to, submitted video that appears to contain material protected by intellectual property rights held by a third party.

Entrant agrees that Ultimate Guitar and Sponsor are not responsible for any violations of any intellectual property rights in any video that entrant submits to Ultimate Guitar. Entrant understands that by entering the contest, entrant’s video will be publicly available to others and that Ultimate Guitar and Sponsor have no obligation to prevent the unauthorized copying, dissemination, alternation or other use of the video by others.

7. Disclaimers

Participants agree that Ultimate Guitar and its agents are not responsible for late, lost or misdirected entries, or for error, omission, interruption, deletion, defect, delay in transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure of Ultimate Guitar and its agents to receive entries for any reason whatsoever or for any errors, mishaps or problems, regardless of the cause, in the voting process. In the event Ultimate Guitar determines that the integrity of the contest has been impaired or corrupted for any reason and as a result cannot be offered or completed as planned, Ultimate Guitar reserves the right in its sole discretion to cancel or terminate the contest and to select winners from among eligible entrants legitimately received prior to the event causing cancellation or termination.

8. Governing Law

The contest shall be governed by and interpreted under the laws of the State of California; and any legal action concerning the contest shall be brought only in a state or federal court located in San Francisco.
